Terms of Service — Vault by Prodeegi

These Terms of Service ("Terms") govern your use of Vault ("Vault", "we", "us"), a product operated by Prodeegi ("Prodeegi"). By creating a workspace, depositing funds, or otherwise using Vault, you agree to these Terms.

1. What Vault is

Vault is a payroll commitment platform. It lets founders and finance leads earmark funds specifically for staff salaries, view payroll runway, and release salaries on payday. Vault is a software service — it is not a bank, deposit-taking institution, or licensed money transmitter.

2. How your money moves

Deposits to a Salary Vault are processed by Paystack, a licensed payment processor. Funds are held in Paystack settlement accounts and released to your team on payday. Prodeegi does not custody your money. Refunds, chargebacks, and settlement timing follow Paystack's terms.

3. Your responsibilities

Provide accurate business, employee, and payroll information.
Ensure you have the legal authority to run payroll on behalf of your business.
Keep account credentials secure and notify us of any unauthorized access.
Only upload employee data with a lawful basis to do so.

4. Pricing

Vault is free during our beta for the first 50 startups. After the beta, standard pricing is ₦5,000 per month, billed annually. Paystack transaction fees are separate and charged by Paystack.

5. Acceptable use

You may not use Vault for fraud, money laundering, sanctions evasion, or to hold funds for purposes other than paying documented employees. We may suspend access if we reasonably suspect misuse.

6. Termination

You may close your workspace at any time. Any locked funds must first be released to employees or refunded via Paystack. We may suspend or terminate accounts that violate these Terms.

7. Disclaimer & liability

Vault is provided "as is". To the fullest extent permitted by law, Prodeegi's total liability for any claim relating to Vault is limited to the fees you paid to Prodeegi in the twelve (12) months preceding the claim.
